1. Acceptance of Terms & Regulatory Scope

These Terms and Conditions constitute a legally binding agreement between you (whether an individual customer, corporate client, wholesale buyer, or authorized distributor/dealer) and Mime Food and Beverage Ltd (doing business as MINE DRINKING WATER), having its registered office at 27/2, Addept Raaman Garden, Flat No-C/1, West Nakhalpara, Tejgaon, Dhaka-1215 and modern manufacturing plant at 208, Nolvogh (Haji Bari More), Turag, Uttara, Dhaka-1230.

By purchasing, placing orders for, storing, distributing, or consuming any product under the MINE brand name, or by submitting an application through our dealership portal, you expressly acknowledge that you have read, understood, and agreed to be bound by these terms, alongside all regulatory certifications issued by the Bangladesh Standards and Testing Institution (BSTI) under license DHK-CM-0000000006029.

2. Product Authenticity, Quality & Product Lines

MINE DRINKING WATER produces and supplies authentic packaged water, fruit drinks, edible oils, and packaged snacks under strict multi-stage purification processes (Quartz Sand Filtration, Activated Carbon, Micronic 5μ/1μ Cartridges, High-Pressure Reverse Osmosis, Ozone Sterilization, UV Radiation, and Automatic Sealed Bottling).

All official products manufactured by Mime Food and Beverage Ltd include the following authorized categories:

Consumers and retailers must inspect the tamper-evident heat-shrink neck sleeve before opening. Do not accept bottles with broken, missing, or compromised seals.

3. 19-Liter Dispenser Jar Security Deposit & Exchange Policy

Our commercial 19-Liter polycarbonate jars are reusable assets designed to maintain continuous fresh drinking water supply while protecting environmental sustainability. The following rules govern all 19L jar transactions:

• Security Deposit: A standard refundable security deposit is charged for each empty 19L polycarbonate bottle issued to corporate clients, retail vendors, and individual households upon initial onboarding.
• One-to-One Empty Exchange: Every refill delivery is strictly executed on an empty-jar exchange basis (1 empty MINE jar returned per 1 refilled MINE jar delivered).
• Jar Condition Criteria: Returned empty jars must be original MINE bottles, free from internal foreign substances (e.g. oil, kerosene, chemicals, dirty water, paint), cracked bases, punctures, or broken handles. Jars contaminated with non-potable liquids will be rejected without credit.
• Deposit Refund: When terminating the service, the client must return the intact MINE jars along with the original deposit voucher to receive a 100% refund of the security deposit within 7 business days.

4. Authorized Dealership & Distribution Agreement

Individuals or companies applying for wholesale or regional dealership rights across any of the 64 districts in Bangladesh agree to the following mandatory distributor covenants:

• Territory Compliance: Authorized dealers shall distribute products solely within their allocated Thana/Upazila/District territory as stated in their written appointment letter. Cross-border dumping into another distributor’s designated area is strictly prohibited.
• Storage & Hygiene Standards: The distributor must maintain a clean, dry, covered warehouse facility with adequate wooden or plastic pallets. Water bottles must NEVER be stored in direct sunlight, damp floors, or near chemical/toxic products.
• Minimum Order Quantities (MOQ): Dealers must maintain the agreed monthly rolling supply volumes to preserve active dealership status and promotional trade margins.
• Maximum Retail Price (MRP) Enforcement: Dealers and affiliated retail networks must never sell MINE products above the government-approved Maximum Retail Price printed on the packaging.

5. Ordering, Corporate Billing & Payment Terms

All commercial transactions, dealer purchases, and enterprise supply orders are executed under standard invoicing procedures compliant with National Board of Revenue (NBR) VAT regulations:

• Payment Methods: Payments are accepted via Official Company Account Bank Transfers (BEFTN/RTGS/NPSB), Corporate Cheques, Letter of Credit (LC), authorized Mobile Financial Services (bKash/Nagad merchant portals), or cash against official company money receipts (MR).
• VAT & Tax Challan: All corporate supplies are accompanied by official Mushak-6.3 VAT Challans under BIN 004318072-0102.
• Credit Period (Corporate Only): Standard credit terms (15 to 30 days) are granted exclusively to vetted institutional clients under written Corporate Service Level Agreements (SLA). Delayed payments beyond the due date may incur interest or suspension of scheduled deliveries.

6. Delivery Logistics, Transit Damage & Replacement Policy

MINE DRINKING WATER operates dedicated transport fleets to ensure punctual distribution from our Turag, Uttara plant:

• Inspection at Delivery: The recipient must inspect carton seals, bottle counts, and physical integrity immediately upon receipt of goods and sign the delivery challan.
• Transit Damage Claims: In the rare event of transit leakage, cracked bottles, or defective packaging, damages must be reported to our dispatch officer within 24 hours of delivery.
• Free Replacement Guarantee: Verified factory defects or transit damage reported within the eligible window will be replaced free of charge on the subsequent delivery schedule.

7. Intellectual Property, Trademark & Anti-Counterfeit Protection

The brand name “MINE”, the brand slogan “Daily Open • Daily Fresh”, graphic logos, packaging artwork, label graphics, customized 3D bottle molds, and website digital assets are the exclusive intellectual property of Mime Food and Beverage Ltd.

8. Governing Law, Jurisdiction & Dispute Resolution

These Terms and Conditions and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the Laws of the People's Republic of Bangladesh.

Any dispute, controversy, or claim arising under these terms shall first be attempted to be resolved amicably through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the competent courts located in Dhaka, Bangladesh.
